Terms of Service

These Terms of Service are an agreement between you and Enstate Labs, Inc. for your use of Enping.

Overview

Enping is a feedback widget, dashboard, API, and related service operated by Enstate Labs, Inc. ("Company", "Enstate Labs", "we", "us", or "our"). Enping helps teams collect website feedback in context, anchor reports to page elements and page state, triage feedback, comment on it, manage statuses and assignments, and route confirmed work into tools such as GitHub, Slack, Linear, or customer-configured APIs (collectively, the "Service").

These Terms of Service (the "Terms") govern your access to and use of enping.app, Enping accounts, the dashboard, widget, APIs, integrations, support channels, and related services. By accessing or using the Service, you accept these Terms on behalf of yourself or the entity you represent, and you represent that you have authority to do so. You may not use the Service if you are under 18 or if you do not agree to these Terms.

Certain features may be subject to additional guidelines, terms, product documentation, order forms, data-processing terms, or rules posted in connection with those features. Those additional terms are incorporated into these Terms by reference.

Section "Dispute resolution" contains an agreement to arbitrate, class action waiver, and jury trial waiver. Please read it carefully.

Accounts and organizations

You may need to create an account to use the dashboard or certain parts of the Service. You agree to provide accurate account information, keep it current, maintain the confidentiality of your credentials, and notify us promptly of suspected unauthorized use or security incidents.

Organizations may invite users, assign roles, configure projects and sites, connect integrations, manage billing, and control workspace data. You are responsible for activity under your account and, if you administer an organization, for the people you invite and the permissions you grant them.

If you use the Service for an organization, you represent that you have authority to bind that organization to these Terms. If your authority ends, you must stop using the Service on that organization's behalf.

Access to the Service

Subject to these Terms, Enstate Labs grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal business purposes or evaluation purposes.

You agree not to:

  • license, sell, rent, lease, transfer, assign, distribute, host, white-label, or commercially exploit the Service except as expressly allowed in writing;
  • modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Service except where law prohibits this restriction;
  • access the Service to build a similar or competitive product or service;
  • copy, reproduce, distribute, republish, download, display, post, or transmit Service content except as expressly allowed by the Service;
  • bypass, disable, or interfere with authentication, authorization, tenant boundaries, rate limits, origin checks, installation keys, reviewer sessions, signed host identity checks, or invite-token controls;
  • use the Service in a way that could harm the Service, our customers, website visitors, reviewers, or third parties.

We may modify, suspend, or discontinue the Service in whole or in part. We will try to provide reasonable notice for material changes that materially reduce paid functionality where practical.

Your content and feedback data

"Customer Content" means feedback reports, comments, screenshots, attachments, annotations, page-context data, project configuration, integration configuration, issue metadata, and other content or data submitted to or processed through the Service by you, your organization, your reviewers, or your visitors.

You retain ownership of Customer Content. You grant Enstate Labs a limited, worldwide, non-exclusive license to host, process, transmit, display, reproduce, and use Customer Content only as needed to provide, secure, support, and improve the Service; comply with law; and enforce these Terms.

You are responsible for Customer Content and for ensuring that you have the rights and lawful basis necessary to submit it to the Service, install the widget, invite reviewers, collect visitor feedback, enable screenshots or attachments, and connect third-party integrations.

If you provide suggestions, ideas, or product feedback to Enstate Labs, you grant us the right to use that feedback without restriction or obligation to you.

Widget use and visitor notices

The Enping widget is a public distribution surface, not a trusted authorization source by itself. Production widget submissions must be backed by a valid origin, installation key, request shape, rate limit, access policy, reviewer session, signed host identity, invite token, or other access control supported by the Service.

You decide where the widget is installed, who can use it, what it captures, whether screenshots or attachments are enabled, and how feedback is handled in your organization. You are responsible for giving appropriate notices, obtaining any required consents, and honoring privacy or deletion requests for data you control.

You may not use the widget to collect sensitive data unless you have appropriate legal basis, user notice, customer configuration, and written authorization from us where required. Do not intentionally collect payment card numbers, government identifiers, health information, raw authentication tokens, passwords, secrets, or other highly sensitive data through the widget.

Acceptable use

You agree not to use the Service to collect, upload, transmit, display, distribute, or process content that:

  • violates law or a third party's intellectual property, privacy, publicity, contract, or other rights;
  • is unlawful, harassing, abusive, threatening, harmful, defamatory, false, intentionally misleading, obscene, or otherwise objectionable;
  • is harmful to minors or violates obligations related to minors;
  • contains malware, viruses, worms, malicious code, or instructions intended to damage or alter systems or data;
  • attempts to phish, harvest credentials, scrape data without permission, spam, or send unsolicited messages;
  • probes, scans, overloads, disrupts, or bypasses the Service or connected networks;
  • attempts to read, write, infer, or exfiltrate data outside the tenant, organization, project, site, or environment boundaries assigned to you;
  • uses automated agents or scripts to create accounts, generate abusive requests, or mine data except through documented APIs and permitted integrations.

We may investigate violations, remove or restrict Customer Content, suspend accounts, disable widget installations, block origins, revoke access tokens or invitations, and report activity to law enforcement where appropriate.

Integrations and third-party services

The Service may connect with third-party services such as GitHub, Slack, Linear, payment providers, AI providers, hosting providers, and customer-configured APIs or webhooks. If you enable an integration, you authorize us to access, process, transmit, and receive the data needed to provide that integration.

Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services that are not controlled by Enstate Labs. You are responsible for having authority to connect those systems and for configuring integrations in a way that complies with your obligations.

AI features

Enping may include AI-assisted classification, summarization, triage, drafting, or implementation-context features. AI outputs may be incomplete, inaccurate, or unsuitable for your use case. You are responsible for reviewing AI outputs before relying on them or sharing them with customers, visitors, or third parties.

Unless an in-product setting or written agreement says otherwise, AI features are assistance tools and do not make final workflow, legal, security, employment, billing, or customer-facing decisions for you.

Plans, trials, billing, and taxes

Enping may offer free, trial, monthly, annual, usage-limited, usage-based, or custom plans. Plan limits may include active production projects or sites, dashboard editors, reviewer or invite features, retention, integrations, storage, AI credits, and other usage allowances.

Paid checkout may be handled by our merchant of record or payment processor. You authorize the applicable payment provider to charge the payment method you provide for the selected plan, renewal period, taxes, and any explicit add-ons or top-ups you purchase. We do not store full payment card numbers.

Trials last for the period stated at checkout or in the Service. After a trial, the selected plan may renew automatically unless you cancel before renewal. You can cancel future renewals through the Service or by contacting support. Fees already paid are non-refundable except where required by law or expressly stated at checkout.

If usage exceeds plan limits, we may pause or limit the affected feature, ask you to upgrade, or offer an explicit add-on or top-up. We do not create automatic usage-based overage invoices unless you expressly accept usage-based terms or an order form that allows them.

Privacy and data processing

Our Privacy Policy explains how we collect, use, share, protect, and retain personal information. If your organization uses Enping to collect visitor, reviewer, customer, employee, or client feedback, your organization is generally the controller or business responsible for that data, and Enstate Labs processes it as a service provider or processor.

Where required, the parties may enter into a separate data-processing agreement. You are responsible for ensuring that your use of the Service complies with privacy, data protection, employment, consumer protection, and electronic communications laws that apply to you.

Intellectual property

Enstate Labs and its suppliers own the Service, including software, design, visual elements, trademarks, service marks, documentation, and other intellectual property. Except for the limited access rights expressly granted in these Terms, no rights are transferred to you.

You may not use Enstate Labs or Enping names, logos, marks, or branding without our prior written consent, except as necessary to identify the Service in ordinary use.

Copyright policy

Enstate Labs respects the intellectual property rights of others. If you believe material available through the Service infringes your copyright, send a written notice under 17 U.S.C. Section 512(c) to our designated copyright agent with:

  • your physical or electronic signature;
  • identification of the copyrighted work claimed to have been infringed;
  • identification of the material you claim is infringing and enough information for us to locate it;
  • your address, telephone number, and email address;
  • a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law;
  • a statement under penalty of perjury that the information is accurate and that you are authorized to act on behalf of the copyright owner.

Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENSTATE LABS AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, error-free, accurate, complete, legal for your specific use case, or free of viruses or harmful code. Some jurisdictions do not allow exclusions of implied warranties, so some exclusions may not apply to you.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENSTATE LABS AND ITS SUPPLIERS WILL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, COSTS OF SUBSTITUTE SERVICES, OR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO ENSTATE LABS FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR 100 U.S. DOLLARS IF YOU HAVE NOT PAID US FOR THE SERVICE. Nothing in these Terms limits liability that cannot be limited by law.

Indemnification

You agree to defend, indemnify, and hold harmless Enstate Labs and its officers, employees, agents, suppliers, and affiliates from claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service, Customer Content, widget installation, integrations, violation of these Terms, violation of law, or infringement of another person's rights.

We may assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense. You may not settle any matter without our prior written consent if the settlement imposes obligations on Enstate Labs or admits fault by Enstate Labs.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access, accounts, widget installations, integrations, or organization access if you materially breach these Terms, fail to pay amounts due, create security or legal risk, or use the Service in a way that risks harm to us, other customers, visitors, reviewers, or third parties.

On termination, your right to use the Service ends. We may delete or retain Customer Content according to our Privacy Policy, product controls, legal obligations, and applicable agreements. Sections that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and general terms.

Changes to these Terms

These Terms may be updated from time to time. If we make material changes, we may notify you by email, in-product notice, or prominent notice on the Service. You are responsible for keeping your account email current. Continued use of the Service after changes take effect means you accept the updated Terms.

Dispute resolution

Please read this arbitration agreement carefully. It requires you and Enstate Labs to resolve most disputes through binding arbitration instead of court and limits the way you can seek relief from us.

Informal resolution. If a dispute arises, the party initiating the dispute must first give written notice and participate in a good-faith informal dispute resolution conference by telephone or video conference. Notice to Enstate Labs must be sent to hello@enping.app or by mail to 1111b South Governors Avenue STE 96453, Dover, Delaware 19904, US. The notice must include your name, telephone number, mailing address, email address associated with your account if any, counsel contact information if any, and a description of the dispute.

Arbitration. If the dispute is not resolved within 60 days after notice, you and Enstate Labs agree that either party may finally resolve the dispute through binding arbitration administered by JAMS under its applicable rules. The Federal Arbitration Act governs this arbitration agreement. Either party may bring qualifying individualized claims in small claims court, and either party may seek equitable relief in court for infringement or misuse of intellectual property rights.

Class action and jury trial waiver. YOU AND ENSTATE LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, REPRESENTATIVE, COLLECTIVE, OR MASS ACTION. YOU AND ENSTATE LABS WAIVE ANY RIGHT TO A JURY TRIAL FOR COVERED CLAIMS.

30-day opt-out. You may opt out of this arbitration agreement by sending a written notice to 1111b South Governors Avenue STE 96453, Dover, Delaware 19904, US or hello@enping.app within 30 days after first becoming subject to it. Your notice must include your name, address, and a clear statement that you want to opt out of arbitration.

General terms

The Service may be subject to U.S. export control laws and import or export regulations in other countries. You agree not to export, reexport, or transfer technical data or products in violation of those laws.

If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting it in writing at 400 R Street, Sacramento, CA 95814, or by telephone at (800) 952-5210.

Communications between you and Enstate Labs may be electronic. You consent to receive communications from us electronically, and you agree that electronic notices, agreements, disclosures, and other communications satisfy legal writing requirements to the extent allowed by law.

These Terms are the entire agreement between you and Enstate Labs regarding the Service unless a separate signed agreement or order form says otherwise. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. Enstate Labs may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, or by operation of law.
